Welcome to ALK, a platform provided by Wamiri Inc. ("Company," "we," "our," "us"). These Terms of Use ("Terms") govern your access to and use of ALK, including any services, features, and content provided by ALK (collectively, the "Service"). By accessing or using ALK, you agree to comply with and be bound by these Terms

1.Eligibility and Use

To use ALK, you must be at least 18 years old or have the consent of a legal guardian. By using ALK, you represent that you have the legal capacity to enter into this agreement.

The Service is designed and made available strictly for business and institutional use. By accessing or using the Service, you represent and warrant that you are acting on behalf of a legally recognized entity and that you possess the requisite authority to enter into and perform obligations under these Terms on behalf of that entity.

You further represent that your use of the Service will at all times comply with all applicable laws, regulations, and industry standards, including those relating to financial services, data protection, and cross-border data processing where applicable.

2. Definitions

“ALK” means Wamiri’s AI-powered operational intelligence platform

“Customer” means any legal entity – including its affiliates, subsidiaries, and authorized representatives – that has entered into this Agreement with Wamiri Inc. to access and use the Service. 

“Customer Data” means all data, documents, files, and information uploaded to or processed through the Service by or on behalf of the Customer.

“Authorized Users” means employees, agents, or contractors permitted by the Customer to use the Service.

“Confidential Information” means non-public, proprietary, or sensitive information disclosed in connection with the Service.

3. User Accounts

  • You may be required to create an account to access certain features of ALK.

  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether or not authorized by you

  • We reserve the right, at its sole discretion to restrict, suspend or terminate accounts or access to the Service where it reasonably determines that there has been a breach of these Terms, a security incident, or any activity that may expose Us, Our systems, or other users to legal, regulatory, or operational risk.

4. Customer Data and Responsibilities

We recognize and agree that, for the purposes of this Agreement, all rights, title, and interest in Customer Data reside solely with you. 

You represent and warrant that you have obtained all necessary rights, permissions, and legal bases required to collect, process, and use such data in connection with the Service. You further warrant that Customer Data does not infringe upon the intellectual property, privacy, confidentiality, or other rights of any third party.

You acknowledge that you are solely responsible for the accuracy, integrity, and legality of Customer Data, as well as for ensuring that its use within the Service complies with all applicable laws and regulations. We shall not be responsible for any consequences arising from inaccuracies or deficiencies in Customer Data.

5. Acceptable Use

You agree to use the Service solely for lawful purposes and in accordance with these Terms.

You agree not to:

  • Use ALK for any illegal or unauthorized purpose.

  • Interfere with or disrupt the Service.

  • Engage in fraudulent, abusive, or harmful behavior.

  • Upload or transmit malicious software or content.

This includes, without limitation, attempting to reverse engineer, decompile, or otherwise extract the underlying source code, models, or algorithms of the Service, bypassing or circumventing security controls, introducing malicious code, or using the Service to develop or support competing products or services.

6.  Intellectual Property

All rights, title, and interest in and to the Service, including all software, algorithms, models, designs, and underlying technology, remain the exclusive property of Wamiri and its licensors. Nothing in these Terms shall be construed as transferring any ownership rights to you, except for the limited rights expressly granted herein.

You retain ownership of Customer Data. However, you grant Us a limited, non-exclusive, worldwide license to host, process, analyze, and use Customer Data solely for the purpose of providing, maintaining, securing, and improving the Service.

7. Limitation of Liability

To the maximum extent permitted by law, Wamiri Inc. shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of ALK.

Our total cumulative liability for any claims arising out of or in connection with these Terms or the Service shall not exceed the total amount of fees paid by you to Us for the Service in the twelve months preceding the event giving rise to the claim.

8. Changes to the Terms

We reserve the right to modify these Terms at any time from time to time to reflect changes in its business practices, legal requirements, or the Service itself. Updated Terms will be made available through the Service, and your continued use of ALK after any changes constitutes acceptance of the updated Terms.

9. Disclaimers

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. We expressly disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or reliability.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from harmful components, nor does it guarantee that the use of the Service will result in any particular business or operational outcome.

10. Data Protection and Privacy

We process personal data in accordance with its Privacy Policy, which is incorporated into these Terms by reference. You acknowledge that the use of the Service may involve the transfer and processing of data across multiple jurisdictions. You are responsible for ensuring that such transfers and processing activities comply with applicable data protection laws and regulatory requirements.

We implement reasonable technical and organizational measures designed to protect data processed through the Service but does not guarantee absolute security.

10. Third-Party Services

The Service may interoperate with or depend upon third-party systems, platforms, or services. We do not control and are not responsible for the availability, security, or performance of such third-party services. Your access to and use of any Third-Party Service is governed exclusively by the separate terms of use, privacy policies, and service agreements between you and the respective third-party provider. 

11.  Governing Law

These Terms are governed by the laws of Canada, unless otherwise agreed in writing between the parties in a separate enterprise agreement.
